Terms of Service

1. Acceptance of Terms

By accessing or using PromptForge ("we", "us", the "Platform"), you agree to these Terms of Service ("Terms"). If you do not agree, do not use the Platform. If you use the Platform on behalf of an entity, you represent that you have authority to bind that entity.

2. Description of the Service

PromptForge is a marketplace for AI prompts and agents ("AI Assets"). Users may discover, purchase, list, and monetize AI Assets. Certain features may require an account and/or payment.

3. Eligibility

You must be at least 18 years old, or the age of majority in your jurisdiction, to use the Platform.

4. Accounts & Security

Provide accurate information and keep your credentials secure. You are responsible for activity under your account. Notify us immediately of any unauthorized use.

5. Acceptable Use

You agree not to: (a) violate laws or third-party rights; (b) upload malicious code; (c) attempt to reverse engineer or disrupt the Platform; (d) use the Platform to generate or distribute illegal, harmful, or infringing content.

6. Ownership & Licenses

Except as otherwise stated, users retain rights in their AI Assets. By listing an AI Asset, you grant PromptForge a limited, worldwide, non-exclusive license to host, display, and promote that asset within the Platform. Purchases are governed by the license chosen by the creator (e.g., personal use, commercial use). PromptForge IP, trademarks, and branding remain our exclusive property.

7. Payments, Fees & Royalties

Transactions may be settled in fiat or tokens. Unless otherwise stated, 90% of primary sales proceeds go to creators and 10% to the Platform. Royalties on subsequent uses/sales are distributed automatically as specified by the creator and supported by the Platform. Prices and fees may change with notice.

8. Refunds

Except where required by law or explicitly stated, transactions are final and non-refundable due to the digital nature of AI Assets.

9. Token Functionality

Platform tokens may be used for payments, rewards, and other utilities. Tokens are not securities and carry no ownership interest in PromptForge. Availability, transfers, and redemption may be limited during test phases or by law.

10. Third-Party Services

We may integrate third-party services (e.g., wallets, analytics). We are not responsible for third-party terms, policies, or availability.

11. Disclaimers

The Platform and all AI Assets are provided "AS IS" without warranties of any kind. We do not warrant accuracy, reliability, fitness for a particular purpose, or non-infringement.

12. Limitation of Liability

To the maximum extent permitted by law, PromptForge will not be liable for indirect, incidental, consequential, special, or exemplary damages, or for lost profits, revenue, data, or goodwill.

13. Indemnification

You agree to defend, indemnify, and hold harmless PromptForge and its affiliates from claims arising from your use of the Platform or violation of these Terms.

14. Suspension & Termination

We may suspend or terminate access for violations, risk, or operational/security reasons. Upon termination, provisions which by their nature should survive will survive (e.g., IP, payments due, disclaimers).

15. Changes to the Terms

We may update these Terms. Material changes will be communicated via the site or email. Continued use constitutes acceptance.

16. Governing Law & Dispute Resolution

These Terms are governed by the laws of New York, USA. Disputes will be resolved in the state or federal courts located in New York County, New York.
